Agreement to Terms
By accessing or using Quotejam, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.
Description of Service
Quotejam provides a cloud-based quotation management platform that enables businesses to create, manage, and track professional quotations for their customers.
Service Region
Quotejam is currently available to businesses operating in the Asia-Pacific region, including but not limited to Australia, New Zealand, Singapore, Hong Kong, Japan, South Korea, Malaysia, Indonesia, Thailand, Vietnam, Philippines, India, and other countries in Asia and Oceania.
By using our service, you confirm that your business is registered and primarily operates within the Asia-Pacific region. We do not currently offer services to businesses in the United States, European Union, or United Kingdom. We reserve the right to restrict access or terminate accounts that do not meet these regional requirements.
User Accounts
When you create an account with us, you must provide accurate and complete information. You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
Acceptable Use
You agree not to use Quotejam to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit malicious code or interfere with the service
- Attempt to gain unauthorized access to our systems
- Use the service for any fraudulent purpose
Your Data
You retain all rights to the data you upload to Quotejam. We do not claim ownership of your content. You grant us a limited license to use your data solely to provide and improve our services.
Payment Terms
Paid plans are billed in advance on a monthly or annual basis. Payments are processed securely through Stripe. We reserve the right to change our pricing with 30 days notice.
Refund Policy
All subscription fees are non-refundable. You may cancel your subscription at any time from your account settings, and you will retain access to paid features until the end of your current billing period.
We do not provide refunds for:
- Partial months or unused time on your subscription
- Downgrading from a paid plan to a free plan
- Accounts that are suspended or terminated for violations of these terms
- Dissatisfaction with the service after a reasonable evaluation period
If you believe you have exceptional circumstances, you may contact us at support@quotejam.com to discuss your situation. Any decision to provide a refund is at our sole discretion.
Cancellation
You can cancel your subscription at any time through your account settings. When you cancel:
- Your subscription will remain active until the end of your current billing period
- You will not be charged for subsequent billing periods
- Your account will be downgraded to the free plan at the end of the billing period
- Your data will be retained according to our data retention policy
Fair Use Policy
Our paid plans offer generous or "unlimited" allowances for certain features. These are intended for normal business operations and are subject to fair use:
- "Unlimited" features are designed for typical business use patterns
- Usage that significantly exceeds normal patterns (e.g., 50x the average user) may be flagged for review
- Automated bulk operations, scraping, or synthetic usage are not permitted
- Accounts suspected of abuse may be contacted for clarification
We reserve the right to apply reasonable limits or offer enterprise pricing for accounts with exceptional usage requirements. We will always attempt to contact you before taking any action that affects your service.
Third-Party Services
Quotejam uses third-party services to provide its functionality. By using our service, you also agree to the terms of these providers:
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We will provide reasonable notice when possible.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of any content
- Warranties that defects will be corrected or that the service is free of viruses or harmful components
You use the service at your own risk. We do not warrant that the service will meet your specific requirements or expectations.
Your Responsibilities
You are solely responsible for:
- Data accuracy - Ensuring all information you enter (pricing, product details, customer information) is accurate and up-to-date
- Quotation review - Reviewing all quotations before sending them to your customers
- Legal compliance - Ensuring your use of the service complies with all applicable laws and regulations in your jurisdiction
- Customer relationships - Managing your relationships with your customers, including any disputes arising from quotations
- Backup - Maintaining your own backups of critical business data
- Tax obligations - Calculating and remitting any taxes owed on your transactions
Quotejam is a tool to help you create and manage quotations. We are not responsible for the content of your quotations or any business decisions you make using our service.
Limitation of Liability
To the maximum extent permitted by law:
- Quotejam shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service
- Our total liability for any claims arising from or related to this agreement shall not exceed the total fees you have paid to Quotejam in the twelve (12) months preceding the claim
- We are not liable for any loss of data, revenue, profits, or business opportunities
- We are not liable for actions or omissions of third-party service providers
These limitations apply regardless of whether the damages arise from breach of contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless Quotejam and its officers, directors, employees, and agents from any claims arising from your use of the service or violation of these terms.
Termination
We may terminate or suspend your account at any time for violations of these terms. You may cancel your account at any time. Upon termination, your right to use the service ceases immediately.
Service Discontinuation
We reserve the right to discontinue the Quotejam service at any time. In the event we decide to permanently shut down the service:
- Notice period: We will provide at least 90 days advance notice via email to all registered users before discontinuing the service
- Data access: During the notice period, we will provide a way for you to retrieve your data in a standard format upon request
- Refunds: If you have pre-paid for a subscription period extending beyond the shutdown date, we will provide a pro-rata refund for the unused portion
- Data deletion: After the service is discontinued, all user data will be permanently deleted within 30 days, unless a longer retention period is required by law
We will make reasonable efforts to assist with data migration during the notice period. However, we are not responsible for any costs, damages, or business disruption arising from service discontinuation.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, infrastructure failures, power outages, or failures of third-party services upon which we depend.
Governing Law and Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to conflict of law principles.
Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.
Dispute Resolution
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@quotejam.com. We will attempt to resolve the dispute through good-faith negotiation within 30 days.
If informal resolution fails, any dispute shall be resolved through binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA), except that either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the service.
Class Action Waiver
You agree to resolve any disputes with us on an individual basis only. You waive your right to participate in a class action lawsuit, class-wide arbitration, or any other proceeding where you act or propose to act in a representative capacity. This waiver applies to the maximum extent permitted by applicable law.
Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations under these terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Subject to the foregoing, these terms will bind and inure to the benefit of the parties and their respective successors and assigns.
Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Quotejam regarding your use of the service. These terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
No Waiver
Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us to be effective.
